KUALA LUMPUR, 23 September 2025 — Kuchai Development Berhad has proposed returning RM55.4 million to its shareholders as part of a strategic move that includes plans to delist from the stock exchange. The proposal is intended to provide liquidity to investors and re-align the company’s capital structure, following a period of underperformance and low trading activity in its shares.
Under the plan, the board of Kuchai Development aims to distribute the RM55.4 million via a capital return mechanism, subject to shareholder and regulatory approvals. At the same time, the company intends to delist its shares, with the delisting process expected to follow shortly after the capital return is finalized. Management cites cost savings from deregulation, reduced compliance burdens, and greater flexibility in pursuing private capital arrangements as motivations for delisting.
Investors have responded with caution. While the capital return provides an immediate benefit for shareholders, delisting may limit long-term liquidity and reduce transparency. Those holding a significant portion of shares may favour the payout, but small retail investors often see value in being listed for ease of transaction and visibility.
From a financial standpoint, Kuchai Development is likely assessing that the costs of remaining listed — including stock exchange fees, compliance and disclosure obligations — may outweigh the benefits given the current market dynamics for its business. The RM55.4 million return may be drawn from retained earnings or cash reserves to achieve a clean exit plan for shareholders.
