Bursa Approves UUE Holdings’ Bonus Issue, Warrants, ESOS and Diversification Proposals

Kuala Lumpur, 11 September 2025UUE Holdings Bhd has secured the green light from Bursa Malaysia Securities Bhd to proceed with a wide-ranging set of corporate exercises that will reshape its capital structure, reward shareholders, and incentivise employees as part of its broader growth and diversification strategy.

In a filing to the stock exchange, UUE confirmed that Bursa Securities has approved the listing and quotation of up to 304.15 million bonus shares and 121.66 million free warrants to be issued under its bonus issue exercise. The regulator has also granted approval for the listing of 121.66 million new shares that may arise from the exercise of those warrants, as well as the listing of new shares representing up to 10% of its issued share capital over the duration of its proposed Employee Share Option Scheme (ESOS). Additionally, Bursa has approved the admission of the warrants to the Official List of Bursa Securities.

The approvals, however, are subject to compliance with Bursa’s standard conditions, which include timely notification upon completion of each exercise, submission of quarterly progress reports, and adherence to moratorium provisions to safeguard shareholder interests.

Strengthening Capital, Incentivising Employees

The company said the measures are designed with multiple strategic goals in mind. The bonus issue of shares and warrants is expected to broaden its capital base and enhance liquidity in the trading of UUE shares, giving existing investors additional value while strengthening market participation. The ESOS scheme is aimed at aligning the interests of employees with those of shareholders, rewarding staff with equity participation to drive long-term commitment and performance.

Most significantly, the corporate exercises are intended to provide a strong platform to support UUE’s planned diversification initiatives, details of which are expected to be disclosed progressively. The group highlighted that diversification, alongside capital restructuring, will be crucial in bolstering revenue streams and positioning the company for sustainable growth.
