Greenyield Board Rejects Requisitioned EGM, Director Resigns

By Katherine (Kay)1 min read

KUALA LUMPUR: Greenyield Berhad announced it will not act on a Notice of Requisition to convene an Extraordinary General Meeting (EGM) under the Companies Act 2016, saying the proposals outlined were not in the company’s best interest.

The board said its decision was made in line with its statutory duties under Section 213 of the Companies Act 2016.

The Notice of Requisition, dated September 8, 2025, sought the removal of Mr. Tham Kin-On as a director. The company noted that the requisition appeared aligned with the objectives of a Memorandum of Understanding (MOU) dated September 3, signed by the same individuals who endorsed the notice.

In addition to the resolution concerning Tham Kin-On, the requisition proposed three other ordinary resolutions to appoint Tham Kinyiq, Tham Kin Wai, and Chong Sin Hao as directors of Greenyield. The board described these proposals as unclear in purpose.

As such, the board decided it would not convene the requested EGM or act further on the requisition.

Greenyield further confirmed that Mr. Tham Kin-On resigned as a director on September 19, 2025, rendering the proposed resolution for his removal no longer applicable.

The company first flagged the requisition in announcements made on September 17 and 19, before issuing its latest clarification.
