Brookfield-Backed Gas IPO Set to Inspire More Canadian Deals

By Bernard Lee2 min read

TORONTO, 24 September 2025 — A proposed IPO in Toronto backed by Brookfield Asset Management is stirring renewed optimism among Canadian capital markets watchers, as the listing of a natural gas storage platform is seen as a template for unlocking value in the energy sector. The deal could catalyse a wave of similar public offerings and bring greater investor interest to domestic energy infrastructure.

The vehicle in question is Rockpoint Gas Storage, a North American natural gas storage platform controlled by Brookfield. The company is reportedly preparing to offer new and existing shares in the Toronto stock market. Royal Bank of Canada and JPMorgan Chase & Co. are acting as advisors, and the IPO could materialize as soon as September.

As part of the structure, Brookfield will maintain control through a majority stake in the underlying operating entities and by retaining specific classes of shares. Rockpoint’s recent financials include US$415.3 million in revenue and US$209.4 million in net income for its latest fiscal year, versus US$348.6 million in revenue and US$253.9 million in net income in the prior period.

Why This IPO Matters

The upcoming listing is notable for several reasons:

  1. Signalling Effect for Energy Infrastructure
Canada’s public markets have long been seen as less dynamic for energy infrastructure listings compared to U.S. exchanges. A successful gas storage IPO by a Brookfield-backed platform would signal to other developers and investors that energy infrastructure assets can access public capital efficiently.
  2. Value Unlocking & Capital Recycling
By listing subsidiaries or platforms, large asset managers like Brookfield can recycle capital into new growth projects, while capturing public valuation for mature infrastructure. This structure helps bridge the gap between private infrastructure investing and public market access.
  3. Yield & Stability Appeal
Storage assets tend to have predictable cash flows and lower volatility compared to upstream or commodity businesses. If investors accept these traits, the IPO can set benchmarks in yield expectations for energy infrastructure assets in Canada.

Risks & Market Conditions

Even with the tailwinds, the IPO carries risks:

  • Valuation Sensitivity: Energy infrastructure valuations are sensitive to interest rates, inflation and yield spreads. Any market shift could undermine investor appetite.
  • Regulatory & ESG Scrutiny: Gas infrastructure faces increasing environmental pressure. Emissions rules, carbon pricing, and investor ESG expectations may shape the terms and market perception.
  • Execution & Capital Structure: Because Brookfield maintains control, minority investors must trust that management incentives align with public shareholders. Complex share classes or governance terms may affect valuation.
  • Market Timing: If capital markets cool or energy sentiment weakens, the IPO may have to be delayed or repriced, reducing signaling impact.
